Background

Amazon.com, Inc. is preparing to issue its first-ever bonds denominated in British pounds, having hired banks to manage the sale, according to a memo seen by Reuters. The move signals the tech giant's entry into the UK debt market as it seeks to diversify funding for its significant investments in artificial intelligence.

Deal Structure and Timing

The planned offering will consist of four different maturities, known as tranches, according to the bank memo. Investors will be offered bonds with terms of 3, 6, 12, and 19 years.

The transaction could launch as early as Wednesday, September 9, subject to favorable market conditions. The memo did not specify the total amount Amazon intends to raise from the sale.

Amazon's sterling debut is part of a broader trend among large technology companies, or "hyperscalers," tapping international debt markets to finance the massive capital expenditures required for the AI boom. These firms have increasingly issued bonds in currencies like the euro, Swiss franc, and Japanese yen this year.

This strategy allows them to diversify their financing sources beyond the U.S. dollar bond market, which has shown signs of strain. Some large bond investors have warned of market "indigestion" due to the sheer volume of debt being issued by tech giants to fund AI infrastructure.

Market Precedent

The sale follows a similar move by Google-parent Alphabet, which successfully raised £5.5 billion ($7.44 billion) in the sterling market in February. Alphabet's multi-part deal was notable for including a rare 100-year bond, highlighting strong investor appetite for high-quality corporate debt in the UK.
