Akzo Nobel Shares Climb on Reported $8.6 Billion Bid from Nippon Paint

Akzo Nobel (AKZO) shares rose on Monday, bucking a broader market decline, following reports that Japan's Nippon Paint submitted an unsolicited bid of up to $8.6 billion for the company's decorative paints business. The stock gained 1.4% to trade at €58.20 in Amsterdam on the news.
The Offer Details
The reported offer from Nippon Paint values Akzo Nobel's decorative paints unit at approximately 12 times its projected 2026 EBITDA, according to Investing.com. This division is home to globally recognized consumer brands such as Dulux and represents a significant portion of the company's European revenue.
This marks Nippon Paint's latest attempt to acquire assets from the Dutch firm. A previous joint bid with Sherwin-Williams for the entire company was reportedly abandoned in early June.
A Strategic Crossroads
Akzo Nobel's management has not formally engaged with Nippon's new approach. The company's board has publicly reaffirmed its commitment to a previously announced merger with U.S.-based Axalta Coating Systems.
That pending deal would create a combined coatings company with an enterprise value of around $25 billion. Under the terms of the Axalta merger:
Ad- Akzo Nobel would hold a 55% majority stake in the new entity.
- The combined company's primary listing would be relocated to New York.
For investors, the new bid from Nippon introduces a potential valuation floor for a key part of Akzo's business and presents strategic optionality as the Axalta merger awaits regulatory clearance.
Market Context
Akzo Nobel's stock gain was a company-specific move that defied negative sentiment in the wider European markets. The pan-European STOXX 600 index fell 0.3% amid geopolitical tensions in the Middle East that sent oil prices higher and pushed investors toward safe-haven assets.
Despite Monday's advance, the stock remains well below its 52-week high of €67.64. Investors are now weighing the competing strategic paths for the company ahead of its next earnings report.
