Background

Union Pacific (NYSE: UNP) shares rose in pre-market trading Tuesday, defying a broader market downturn after the company reported stronger-than-expected second-quarter earnings, raised its financial outlook, and secured strategic agreements with Canadian National Railway.

Earnings Beat and Raised Outlook

The railroad operator announced second-quarter adjusted earnings per share of $3.41, surpassing the analyst consensus that ranged from approximately $3.19 to $3.24. Revenue for the quarter came in at roughly $6.9 billion, ahead of expectations of around $6.65 billion to $6.70 billion and representing a year-over-year increase of about 12%.

Buoyed by the strong results, Union Pacific lifted its full-year 2026 forecast. The company now targets high-single-digit reported EPS growth. It also reaffirmed several key financial goals:

  • Pricing gains above inflation
  • Continued improvement in its operating ratio
  • A capital plan of $3.3 billion

Key Agreements with Canadian National

Adding to the positive sentiment, Union Pacific and Canadian National Railway (NYSE: CNI) signed two binding Memoranda of Understanding. The first is a mutual network access swap that grants Union Pacific expanded operating rights over a key CN corridor through Chicago. In return, CN gains rights over Union Pacific's network between Memphis, Tennessee, and Eagle Pass, Texas.

The second agreement is tied to the proposed merger between Union Pacific and Norfolk Southern (NYSE: NSC). Canadian National has agreed not to oppose the deal in exchange for competitive access rights, removing a significant potential hurdle ahead of the review by the Surface Transportation Board.

Defying Broader Market Weakness

Union Pacific's gains came even as the wider U.S. equity market faced headwinds, with the S&P 500, Dow Jones, and Nasdaq all trading lower. The market's negative sentiment was driven by disappointing earnings from Tesla, elevated spending guidance from Alphabet, and inflation concerns fueled by a sharp rise in oil prices.

The stock's ability to rally against this backdrop underscores the market's positive reception of its strong quarterly performance and strategic initiatives, which are seen as powerful company-specific catalysts.
