SpaceX Sets August 4 for First Earnings Report, Triggering $109 Billion Lock-Up Expiration

SpaceX (NASDAQ: SPCX) has scheduled its first-ever earnings report as a public company for Tuesday, August 4, 2026, after the market close. The announcement sets the stage for a pivotal moment for the recently listed aerospace firm, as the release will trigger the largest insider share lock-up expiration in financial history.
Management will host a webcast at 4:30 p.m. ET to discuss the second-quarter results, according to the company's statement.
A Historic Supply Event
The Q2 earnings report is the catalyst for unlocking the first tranche of shares held by insiders and employees following the company's $75 billion initial public offering on June 12, 2026. Two trading days after the report, up to 911.5 million shares, or 20% of eligible insider stock, will become available for trading.
At the stock's recent price of $119.85, this represents approximately $109.2 billion in market value—an unprecedented influx of supply that is roughly 1.45 times the size of the original IPO. The initial offering featured an unusually small public float of less than 5%, which contributed to significant price volatility after its debut.
The Lock-Up Structure
AdSpaceX's staged lock-up agreement is structured as follows:
- Earnings Trigger: The first 20% of insider shares (up to 911.5 million) unlock unconditionally after the August 4 report.
- Price-Contingent Tranche: An additional 10% of shares (around 455.8 million) remains locked, as the stock did not meet the required price threshold of $175.50 leading up to the report.
- Rolling Expirations: Subsequent tranches of 7% will unlock on a rolling basis, starting in late August 2026 and continuing through the end of the year.
- Founder Stake: CEO Elon Musk and other key executives are subject to a full one-year lock-up period ending June 12, 2027.
Investor Focus on Fundamentals
Beyond the technical market mechanics, the report will provide Wall Street its first official look at SpaceX's financial health. Investors will be scrutinizing key performance indicators to determine if the company's premium valuation is justified.
Analysts will focus on the profitability and subscriber growth of the Starlink satellite internet service, which is considered the primary driver of commercial revenue. Other key areas include the launch cadence and margins for the Falcon 9 rocket, capital expenditures related to the next-generation Starship program, and spending on infrastructure for the recently integrated xAI division. Strong top-line growth and a clear path to sustainable cash flow will be critical for anchoring the stock's valuation amid the incoming wave of share supply.
