Key Drivers for the Upgrade
The revision is underpinned by Adyen's strong financial performance, having more than doubled its net revenue over the past five years, according to S&P. The ratings agency anticipates that recent investments in personnel and financial products will fuel continued revenue growth of around 20%.
S&P projects that operating leverage will drive Adyen's adjusted EBITDA margins to approximately 50% by 2028. This figure significantly outperforms the 35% to 45% margins typical of larger industry peers like Global Payments and Fiserv, the agency noted.
Strategic Expansion and Financial Strength
AdAdyen's recent acquisitions of Talon.One and Orb signal a strategic move to offer more comprehensive merchant services beyond core payment processing. The acquisitions integrate capabilities for real-time loyalty incentives (Talon.One) and complex, usage-based billing (Orb), which is crucial for software and AI-focused clients.
A robust balance sheet supports this growth strategy. S&P highlighted that Adyen holds no debt and had a cash position of about €4.5 billion as of June 30, 2026, before funding the recent acquisitions. The company is expected to generate free cash flow of €1.2 billion to €1.3 billion in 2026.
Business Model and Market Position
Adyen's highly efficient, single-platform model is a key differentiator, contributing to high customer retention, with over 80% of its growth originating from existing clients. The platform also delivers superior technical performance, with payment authorization rates estimated in the high 90% range, consistently surpassing industry averages, according to S&P's analysis.
