EQT to Acquire Majority Stake in McGill and Partners for $2 Billion

Swedish private equity firm EQT AB has agreed to acquire a majority stake in UK insurance broker McGill and Partners from Warburg Pincus LLC in a deal valued at $2 billion. The acquisition is intended to accelerate the boutique broker's international growth and enhance its technological capabilities.
Deal Structure and Timeline
Under the terms of the agreement, EQT's EQT X fund will purchase the entire equity stake currently held by Warburg Pincus. McGill and Partners' founders, management team, and employees will reinvest in the company alongside EQT, retaining what the firms describe as a meaningful ownership stake.
The company’s leadership will remain in place, with founder and CEO Steve McGill continuing to lead the business and Chairman John Lloyd staying actively involved. The transaction is subject to customary conditions and regulatory approvals and is expected to close in the first half of next year. Following this deal, the EQT X fund is anticipated to be 85-90% invested.
Strategic Rationale
EQT plans to support McGill and Partners' next phase of growth by investing in key areas. The strategy focuses on driving organic growth through talent recruitment in key markets and expanding the firm's digital solutions.
AdFurther investment will be directed toward developing the company's technology and data analytics capabilities. McGill and Partners operates on a unified technology platform designed for structured data, which EQT sees as a foundation for deploying advanced data analytics and artificial intelligence.
