EQT Stock Slides on Dilution Concerns From Range Resources Deal, Weaker Q3 Earnings

EQT Corporation (EQT) shares slipped 0.5% in after-hours trading to $56, pressured by the dilutive impact of its planned all-stock acquisition of Range Resources and the release of weaker third-quarter financial results.
Deal Structure and Earnings Disappoint
The company's transformative deal to acquire Range Resources will create the largest natural gas producer in the United States, with a combined enterprise value exceeding $50 billion. However, the all-stock transaction structure has raised concerns among investors about shareholder dilution.
Under the terms, Range Resources shareholders will receive 0.987 EQT shares for each share they own, resulting in former Range holders owning approximately 27% of the combined company. According to Investing.com, this has fueled merger-arbitrage activity, where traders short EQT stock while buying Range Resources shares, contributing to the selling pressure on EQT.
Adding to the headwinds, EQT reported a year-over-year decline in its Q3 2026 financial performance:
- Net income fell to $279 million from $336 million.
- Diluted earnings per share (EPS) declined to $0.44 from $0.53.
- Free cash flow dropped to $283 million from $484 million in the prior-year period.
AdThe company also canceled its previously scheduled third-quarter earnings conference call in light of the acquisition announcement, which is expected to close in the first quarter of 2027.
Analyst Concerns and Technical Breakdown
Several analysts adjusted their outlook on EQT following the news, citing risks related to the deal's dilution and integration. Wells Fargo lowered its price target on the stock to $71 from $79, while Scotiabank trimmed its target to $53.
Other factors contributing to the negative sentiment include insider selling totaling nearly $9.6 million over the past three months. From a technical perspective, EQT's share price also crossed below its 200-day moving average, a signal often interpreted as bearish by traders. The stock's decline occurred while broader market indices like the S&P 500 and Nasdaq were mostly flat, indicating the weakness was specific to the company rather than a wider market trend.
