Enova International Shares Tumble After Scrapping Grasshopper Bank Acquisition

Enova International (NYSE: ENVA) shares plunged 17.5% in after-hours trading on Monday after the company announced it was terminating its planned acquisition of Grasshopper Bancorp, Inc. The company has withdrawn its applications with the Office of the Comptroller of the Currency and the Federal Reserve, ending a deal central to its strategic expansion.
Regulatory Uncertainty Derails Deal
In a statement, Enova cited significant challenges in the regulatory approval process as the reason for the termination. CEO Steve Cunningham pointed to a lack of "clearly articulated standards for nonbank entities seeking to become chartered banks" and a process he described as "susceptible to political influence."
According to the company, the uncertainty surrounding a successful outcome was too great to continue pursuing the acquisition. The deal had been positioned as a cornerstone of Enova's strategy to enter the traditional banking sector, which would have provided it with a valuable bank charter and access to lower-cost deposit funding.
Market Impact and Outlook
AdThe market's reaction was swift and severe, with shares falling from a closing price of $226.72 to $187 in the after-hours session. The sell-off was specific to Enova, occurring while the broader market was largely flat, indicating investor disappointment in the collapse of the company's long-term growth initiative.
To counter the strategic setback, Enova announced it will accelerate its share buyback program, redirecting capital originally intended for the acquisition back to shareholders. The company also sought to reassure investors by reaffirming its guidance for full-year 2026, which includes:
- Revenue growth of 20% to 25%
- Adjusted EPS growth of 30% to 35%
The company also maintained its Q3 targets for revenue and EPS growth of approximately 25% and 30%, respectively, suggesting confidence in its core business operations despite the acquisition's failure.
