Dongxing Securities to Halt Trading Sept. 15 Ahead of Delisting for CICC Merger

Dongxing Securities (601198.SH) will halt trading of its A-shares on the Shanghai Stock Exchange starting from the market open on September 15, 2026, according to a company announcement. The suspension is a procedural step in the company's pending merger and will remain in effect until the shares are officially delisted.
Delisting and Cash-Out Option
The trading halt coincides with the first day for dissenting shareholders to exercise their cash-out rights, a provision allowing them to sell their shares for cash rather than participate in the merger. Following this period, Dongxing Securities will apply to the Shanghai Stock Exchange to terminate its listing.
According to the company's filing, the shares will not resume trading. The suspension will transition directly into the delisting process after the cash-out option's declaration and settlement phases are complete.
AdMerger by Share Swap
This action is part of a larger transaction where Dongxing Securities will be acquired by China International Capital Corporation (CICC) through a merger by absorption. The deal also includes Cinda Securities Co., Ltd., as detailed in a merger report published on September 8, 2026.
Once the delisting is finalized, existing A-shares of Dongxing Securities will be automatically converted into newly issued A-shares of CICC. The conversion will be executed at a predetermined swap ratio. These new CICC shares will then be listed and traded on the Shanghai Stock Exchange, making former Dongxing investors shareholders of the newly combined entity.
