The OCC charter allows the company to establish First National Digital Currency Bank, N.A., which will operate under the name Circle National Trust. This places Circle's digital asset custody operations under the direct oversight of a primary U.S. bank regulator, a move the company said "materially elevates the institutional credibility of USDC."
In a statement, Circle CEO Jeremy Allaire said that establishing the federally chartered trust bank "deepens Circle’s longstanding commitment to the highest standards of trust and compliance." The approval concludes a process that began with an initial application in June 2025 and received conditional approval in December 2025. The new entity will initially focus on custody, with reserve management planned as a future capability.
Market Reaction and Context
Investors responded strongly to the news, pushing Circle's stock up 13.3% in morning trading. Shares rose from a previous close of $63.01 to an intraday high of $72.86.

The firm pointed to a declining trend in USDC's market capitalization since March 2026 as a reason for its more measured outlook. For investors, the OCC charter is seen as a concrete step toward legitimizing Circle's infrastructure within the regulated financial landscape.
