China SXT Pharmaceuticals Stock Plummets on $9 Million Share Offering

Shares of China SXT Pharmaceuticals Inc. (NASDAQ:SXTC) plummeted over 77% in trading on Thursday following the company's announcement of a registered direct offering designed to raise approximately $9 million in gross proceeds.
Details of the Offering
China SXT Pharmaceuticals disclosed it has entered into a securities purchase agreement with institutional investors for the sale of 4,500,000 units at a purchase price of $2.00 per unit. This offering is expected to result in significant dilution for the company's current shareholders.
Each unit sold in the offering consists of:
- One Class A ordinary share.
- One warrant to purchase one Class A ordinary share.
AdThe accompanying warrants will be immediately exercisable upon issuance at an exercise price of $3.20 per share and will expire one year from the date of issuance. The company stated the transaction is expected to close on or about July 24, 2025, subject to customary closing conditions.
Market Impact and Context
The sharp decline in the company's stock price reflects the immediate dilutive effect of the offering. By issuing a large number of new shares at a fixed price, the value of existing shares is reduced. The proceeds are calculated before deducting fees for the placement agent, Univest Securities, LLC, and other offering expenses.
Based in Taizhou City, Jiangsu Province, China SXT Pharmaceuticals was founded in 2005 and focuses on the development, manufacturing, and sale of traditional Chinese medicine products. The capital raised from this offering is expected to be used for general corporate purposes.
