According to a filing with the U.S. Securities and Exchange Commission on Thursday, the San Francisco-based company plans to offer 18.8 million shares at a price range of $15 to $17 each. At the top end of this range, the IPO would give Braveheart Bio a market valuation of approximately $1.2 billion.
The company has applied to list its common stock on the Nasdaq Global Market under the ticker symbol BRVE. The offering is being managed by a syndicate of joint bookrunners including Goldman Sachs & Co. LLC, Jefferies, TD Cowen, Stifel, and Cantor.
Use of Proceeds and Pipeline
Braveheart Bio is focused on developing BHB-1893, a next-generation oral cardiac myosin inhibitor for treating obstructive and non-obstructive hypertrophic cardiomyopathy. The company in-licensed the compound from its originator, Jiangsu Hengrui Pharmaceuticals Co., Ltd., in September 2025.
AdProceeds from the IPO are expected to fund crucial late-stage clinical trials:
- LIONHEART-HCM: A global Phase 3 trial for obstructive hypertrophic cardiomyopathy, set to begin in the second half of 2026. Interim results are anticipated in the second half of 2027.
- NOBLEHEART-HCM: A global Phase 3 trial for the non-obstructive form of the disease, planned to start in the first half of 2027.
Investor Backing
The company, which is backed by venture capital firm a16z, has also received a significant signal of institutional interest. Fidelity Management & Research Company LLC has provided a non-binding indication of interest to purchase up to $75 million worth of shares at the IPO price, according to the filing.
