Beretta Holding Reportedly Plans to Increase Sturm, Ruger Stake to 25%

Summary
The European firearms maker is planning a bid to raise its ownership in U.S.-based Sturm, Ruger & Co. from nearly 10% to 25%, a move that would also secure board representation, according to a report.
Beretta Holding S.A. reportedly intends to launch a bid to increase its ownership stake in U.S. firearms manufacturer Sturm, Ruger & Co. (NYSE: RGR) to 25%, according to a Thursday report from Italian newspaper Il Sole 24 Ore. The move would significantly increase the European firearms giant's influence over its American competitor.
Details of the Reported Bid
The Luxembourg-based holding company, which owns the historic Italian gun maker Beretta, currently holds a 9.93% stake in Sturm Ruger, according to LSEG data. The plan to more than double this holding was reported by Il Sole 24 Ore, which cited sources familiar with the matter.
Beretta Holding has not yet publicly confirmed the plan and did not immediately respond to a request for comment on the report. Sturm, Ruger & Co. has also not issued a public statement regarding the potential transaction.
AdStrategic Implications
Acquiring a 25% stake would be a significant strategic step, transforming Beretta from a large shareholder into a highly influential one. The report noted that a successful bid would allow Beretta Holding to appoint two members to Sturm Ruger's board of directors.
This level of ownership and board representation would grant Beretta substantial sway over corporate strategy, major investments, and governance. For investors, such a move could signal a precursor to deeper collaboration or a potential future consolidation between two of the world's major firearms manufacturers.
