Overwhelming Support and Final Hurdles
In a special shareholder meeting on Tuesday, the deal received overwhelming support, with 99.54% of votes cast in favor of the acquisition, according to a statement from ARC Resources. The transaction, announced by Shell earlier this year, is a key part of the energy major's strategy to expand its natural gas operations in North America.
While the shareholder mandate is a major milestone, the deal is not yet finalized. It still requires approval from the Court of King’s Bench of Alberta. A hearing for this final court approval is scheduled for Wednesday.
AdRegulatory Clearances and Financial Maneuvers
ARC Resources confirmed that several key regulatory approvals have already been secured. These include essential competition clearances from authorities in both Canada and the United States, removing significant potential obstacles to the merger.
In a related development last month, Shell suspended its $3 billion share buyback program. The company stated this was a necessary measure to comply with securities law requirements pending the shareholder vote. Additionally, the Alberta Securities Commission granted Shell relief from certain rules concerning its share repurchase programs in the U.K. and the Netherlands, satisfying another condition for the deal's completion.
