The deal structure includes an upfront payment of $175 million, funded with 80% cash and 20% Vita Coco stock, plus potential earnout payments of up to $100 million based on 2028 performance.
Copra has demonstrated rapid growth, with a 48% compound annual growth rate in net sales over the past three years and projected 2026 net sales exceeding $100 million. The acquisition is expected to be accretive to Vita Coco’s adjusted EBITDA margins once fully integrated, expanding its presence in the premium segment of the market.
