Background

Shareholders of Brazilian mining giant Vale (VALE3) have elected Manuel Lino Oliveira as the new chairman of the board, concluding a period of heightened governance tensions initiated by a key investor. The election on Wednesday was supported by top shareholder Previ, the pension fund for employees of state-run Banco do Brasil.

Shareholder-Driven Change

The appointment of Oliveira, who previously served as Vale's lead independent director, follows the resignation of former chairman Daniel Stieler earlier in July. Stieler's departure came about a month after Previ, which holds an approximate 7% stake in the miner, formally requested a shareholder meeting to vote on his removal.

Previ had advocated for the leadership change, arguing that Oliveira would strengthen corporate governance at the world's largest iron ore producer. The proposal created a clash with Vale's board, which had initially recommended that shareholders reject Previ's motion. According to a Reuters report, three directors, including Oliveira himself, abstained from that vote before Stieler ultimately resigned.

Market Impact

Following the shareholder meeting, Vale's shares traded more than 3% higher in Sao Paulo, outperforming Brazil's benchmark Bovespa stock index.

The positive market reaction was also supported by strong operational results. The company had released its second-quarter iron ore production figures late on Tuesday, which were well-received by investors and contributed to the stock's upward momentum.
