This judicial green light follows a shareholder meeting on September 16, where investors in Beazley voted to approve the transaction. With the court's sanction, all outstanding conditions for the acquisition have now been met.
Financial Terms of the Acquisition
Under the terms of the sanctioned scheme, Beazley shareholders will receive a significant premium for their holdings. The key components of the offer include:
Ad- £13.10 in cash for every Beazley share held.
- A permitted dividend of up to 25 pence per share.
The total cash consideration for shareholders amounts to approximately £8.1 billion, according to the court's statement. This price represents a 59.8% premium to Beazley's closing share price of 820 pence on January 16, 2026, the last business day before the offer period commenced.
Finalizing the Deal
Zurich had previously announced on September 14 that it had secured all necessary regulatory approvals for the acquisition. With the court's final approval now in place, the transaction is expected to become effective on October 1, 2026.
The deal marks a significant consolidation in the specialty insurance market, combining Zurich's global reach with Beazley's specialized underwriting expertise within the Lloyd's market.
