Details of the Transaction

Under the terms of the agreement, a subsidiary of USFM Corporation, which develops strategic mineral interests in Greenland, will merge with Twin Vee. Concurrently, Twin Vee will transfer the assets and liabilities of its marine business into a newly formed Delaware statutory trust.

This marine business includes the company's popular Twin Vee and Bahama Boat Works brands. Existing pre-merger stockholders are set to receive two forms of compensation:

  • Equity in the newly combined public company.
  • A non-transferable contingent value right (CVR) in the trust, which entitles them to future distributions generated by the ongoing marine business operations.

The company's board presented the deal as the best path forward after a strategic review. "Our Board concluded that the combination of the public company merger and the privatization of the Marine Business provides a compelling path forward for our stockholders, employees, customers, and business partners," said Kevin Schuyler, Lead Independent Director of Twin Vee, in a statement.

The transaction has received approval from the boards of both companies but remains subject to several conditions. These include approval by Twin Vee’s disinterested shareholders, regulatory clearances, and other customary closing requirements.

What's Next

The parties involved expect the transaction to close in the third quarter of 2026. Upon completion, the combined public entity is expected to trade on the NYSE American exchange.

Twin Vee stated that it does not anticipate any immediate changes to its customer service, vendor relationships, or employee operations as a result of the announcement.
