Toro Corp. Stock Jumps on Plan to Spin Off AI-Focused LPG Carrier Business

Shares of Toro Corp. (TORO) jumped in pre-market trading after the company announced a plan to spin off its liquefied petroleum gas (LPG) carrier business into a new, independently listed company.
The Spinoff Plan
Toro disclosed its plan on Wednesday evening to separate its LPG carrier assets into a new entity named AI Okto Corp., which will seek a listing on the Nasdaq Capital Market. The transaction is structured to be immediately accretive to existing shareholders, who will receive shares in the new company at no cost without surrendering their current Toro stock.
According to the announcement, the spinoff will be seeded with key assets from the parent company:
- Two LPG carriers: the LPG Dream Arrax and LPG Dream Vermax.
- $45 million in cash contributed by Toro Corp.
AdThe company stated that AI Okto Corp. is envisioned as a pure-play LPG carrier that will leverage an artificial intelligence-enabled operating model through technology partnerships.
Market Reaction
The announcement was the clear catalyst for the stock's move, with shares surging 7.2% to $6.88 in pre-open trading, as reported by Investing.com. The rally began in after-hours trading immediately following the news on Wednesday.
This sharp increase occurred despite a negative backdrop in the broader market, with major indices like the S&P 500 and Nasdaq trading lower. The move appears entirely company-specific, as there were no other apparent drivers such as analyst upgrades, sector-wide momentum, or significant macroeconomic data releases.
