Sunrise Energy Metals to Redomicile to US, Seek Primary Nasdaq Listing

Summary
Australian critical minerals firm Sunrise Energy Metals has announced plans to relocate its parent company to the United States and pursue a primary listing on the Nasdaq exchange, a move linked to a potential $400 million U.S. government funding commitment.
Australia’s Sunrise Energy Metals announced on Friday its intention to relocate its corporate home to the United States and seek a primary listing on the Nasdaq. The move is designed to better align the company with a significant potential funding opportunity from the U.S. government for its key critical minerals project.
Strategic Restructuring
Under the proposed plan, a newly incorporated company in Delaware, Sunrise Energy Metals, Inc., will acquire all shares of the current Australian firm, becoming the group's parent entity. The Melbourne-based company stated its primary stock market listing will shift to the Nasdaq once the scheme is implemented.
Sunrise Energy Metals will maintain a secondary listing on the Australian Securities Exchange (ASX), according to the announcement. The company confirmed that its core business, assets, operations, and projects will not change, and the current directors and senior management are expected to continue in their roles.
Link to US Funding and Critical Minerals
AdThe redomiciling is directly tied to a conditional commitment for up to $400 million in funding from the U.S. Department of War. This funding is earmarked for the company's Syerston Scandium Project, located in New South Wales, Australia.
Scandium is designated as a critical mineral vital to Western defense and technology sectors. Its strategic importance has grown since China, the world's main producer, imposed export controls. According to its 2026 annual report, Sunrise's Syerston project has its key permits in place and is targeting first production in the first half of 2028, with a planned annual output of approximately 60 metric tons of scandium oxide.
Market Reaction
Investors responded positively to the news. Shares of Sunrise Energy Metals (ASX:SRL) were trading up 6.9% at A$23.060 during Friday's session following the announcement.
