Background

Shares in Spire Healthcare Group (LON:SPI) gained more than 2% on Thursday after the deadline for Toscafund Asset Management to make a formal takeover offer was extended for a third time, signaling that negotiations over the potential £1 billion deal are continuing.

Third Extension Granted

The new "put up or shut up" (PUSU) deadline, by which Toscafund must either announce a firm intention to make an offer or walk away, has been set for August 6. The previous deadline was set to expire on Thursday, according to a report from Investing.com.

Under UK takeover rules, such extensions typically require the consent of the target company's board and indicate that substantive discussions between the parties are still in progress. This latest delay marks the third time the deadline has been pushed back since the initial approach.

Toscafund first submitted its non-binding proposal to acquire the British private hospital operator on May 14. The key figures of the proposed deal are:

  • Offer Price: 250 pence per share
  • Total Valuation: Approximately £1 billion (equivalent to $1.34 billion)

Market Interpretation

The positive stock reaction suggests investors see the repeated extensions as a sign that a formal bid is more likely to materialize than not. While a prolonged negotiation period can create uncertainty, the market is interpreting the continued engagement as a positive indicator that both sides are working towards a potential agreement for one of the UK's largest private healthcare providers.
