Background

Samos Energy Acquisition Corporation, a special purpose acquisition company, has raised $230 million in gross proceeds from its initial public offering on the New York Stock Exchange. The company intends to use the capital to pursue a business combination with a target in the international energy sector.

IPO Details

According to a company press release, the offering consisted of 23,000,000 units priced at $10.00 per unit. The final amount includes the full exercise of the underwriters’ overallotment option, which added 3,000,000 units to the sale. Cantor Fitzgerald & Co. acted as the sole book-running manager for the transaction.

The U.S. Securities and Exchange Commission (SEC) declared the company's registration statement effective on July 9, 2026. The units began trading on the NYSE the following day, July 10, 2026.

Unit Structure and Trading

Samos Energy's units trade under the ticker symbol NYSE: SAMO.U. Each unit is composed of:

  • One Class A ordinary share
  • One-half of a redeemable warrant

Each whole warrant will allow the holder to purchase one Class A ordinary share at an exercise price of $11.50. Once the securities separate, the Class A ordinary shares and warrants are expected to trade on the NYSE under the ticker symbols SAMO and SAMO.WS, respectively.

Acquisition Strategy

As a special purpose acquisition company (SPAC), Samos Energy was formed to identify and merge with a private company, thereby taking it public. The company has stated its strategic focus is on targets with international energy assets that are currently operational and generating cash.

In line with standard SPAC procedure, the full $230 million in proceeds from the IPO has been placed into a trust account. These funds will be held for the benefit of public shareholders until the company completes a business combination.
