PolyPeptide Shares Surge 5% on CHF 1.46 Billion Takeover Bid from Samsung Biologics

Shares of PolyPeptide Group AG (SIX:PPGN) surged 5.0% on Monday after Samsung Biologics announced a formal all-cash public tender offer to acquire the Swiss peptide manufacturer. The bid, which values PolyPeptide at approximately CHF 1.46 billion ($1.62 billion), was coupled with a strong preliminary earnings report from the company, providing a dual catalyst for the stock.
The Acquisition Offer
Samsung Biologics is offering CHF 44.31 per share to acquire PolyPeptide, representing a premium over the previous closing price of CHF 41.75. The deal carries a high degree of certainty, as it has received a unanimous recommendation from PolyPeptide’s Board of Directors.
Furthermore, the company's largest shareholder, which holds approximately 55.65% of the outstanding shares, has already entered into a binding commitment to tender its entire stake. The transaction is expected to close by the end of 2026, contingent upon a minimum acceptance threshold of two-thirds of all shares and customary regulatory approvals.
Strategic Rationale and Market Impact
AdThe acquisition is aimed at bolstering Samsung Biologics' capabilities in the rapidly expanding market for peptide-based active pharmaceutical ingredients (APIs). PolyPeptide is a key player in this sector, with significant exposure to the booming GLP-1 therapy market used in treatments for obesity and diabetes.
Following the announcement, PolyPeptide's stock climbed to CHF 43.85, trading just below the offer price. This narrow spread indicates strong investor confidence that the acquisition will be successfully completed. In a statement, PolyPeptide's chairman noted the offer provides shareholders with "an attractive cash price and immediate, certain value today."
Strong Underlying Performance
Adding to the positive sentiment, PolyPeptide also released strong preliminary results for the first half of 2026. The company reported impressive revenue growth of 41.6% and an EBITDA margin of 20.7%. This marked acceleration in performance reinforces the strategic value and growth potential that prompted the acquisition bid from the South Korean biologics giant.
