Pinewood Technologies Stock Soars Over 33% on £545 Million Takeover Proposal

Summary
Shares in the automotive software group surged after it received a possible cash offer of £4.48 per share from a Ridgeview Partners-backed entity, valuing the company at approximately £545 million.
Pinewood Technologies (LSE: PINE) stock surged more than 33% on Monday after the automotive software company received a possible cash takeover offer from a newly formed entity indirectly owned by Ridgeview Partners LLC.
Offer Details
The proposal, made by U.K. Piston Bidco Limited, values Pinewood Technologies at £4.48 per share in cash, according to the announcement. This places an enterprise value of approximately £545 million on the company and represents a significant premium over its recent trading levels.
The board has indicated a willingness to recommend the offer, a key factor driving market optimism. This renewed interest follows a previously withdrawn bid from private equity firm Apax Partners in January 2026, which was abandoned due to what it cited as challenging market conditions.
Significant Shareholder Backing
The credibility of the current offer is significantly strengthened by substantial pre-existing shareholder support. Ahead of a formal announcement, Ridgeview Partners has secured backing for the deal.
AdKey support includes:
- Letters of intent from shareholders representing approximately 48.71% of Pinewood's issued share capital.
- This group is led by the company's largest shareholder, Lithia UK Holding Limited, which holds a 31.95% stake.
- Separately, shareholders representing about 32.81% of the share capital have indicated a preference for a rollover alternative, which would involve exchanging their shares for interests in a Ridgeview-managed vehicle.
Market Impact and Next Steps
Following the news, Pinewood's stock price jumped 33.6% to 420.74p, trading close to the £4.48 (448p) offer price. This narrow spread suggests investors see a high probability of the deal being finalized. The stock had traded as low as 203p within its 52-week range.
Under the rules of the UK Takeover Code, U.K. Piston Bidco must either announce a firm intention to make an offer or declare that it does not intend to proceed by a deadline of August 21, 2026.
