The proposal, made by a newly formed company named U.K. Piston Bidco Limited, offers Pinewood shareholders £4.48 per share in cash. According to the announcement, this price represents a significant premium over the company's recent trading levels:
- 43% above the closing price of 314 pence on the last trading day before the offer.
- 53% above the one-month volume-weighted average price (VWAP) of 293 pence.
- 64% above the three-month VWAP of 274 pence.
Pinewood's board stated that it would be "minded to recommend" the offer to shareholders if a firm intention to proceed is announced. Eligible shareholders will also have the option to elect for a rollover alternative, receiving unlisted interests in a Cayman Islands entity managed by Ridgeview.

Ridgeview has already secured substantial backing for its proposal, receiving non-binding letters of intent from shareholders representing approximately 48.71% of Pinewood's issued share capital. This includes support from major investors Lithia UK Holding Limited (31.95%) and Working Capital Partners (7.19%).
Shareholders representing 32.81% of the company's capital have indicated their intention to opt for the rollover structure. Pinewood Chairman Ian Filby noted that the board believes it is appropriate to engage with Ridgeview, which brings "deep technology expertise, long-term capital and a shared ambition for the business."
Under U.K. takeover rules, Ridgeview must announce a firm intention to make an offer or withdraw its proposal by August 21, 2026. The transaction is subject to several pre-conditions, including a final recommendation from Pinewood's board and the finalization of transaction documents.
