Background

Global fintech firm Perpetuals.com has discontinued discussions to acquire a subsidiary of AI Financial Corporation, a cryptocurrency-related company with financial ties to the Trump family. The company announced the termination of an earlier letter of intent in a press release on Tuesday.

Deal Terminated

Perpetuals.com stated it will not move forward with the acquisition of Alt5 Sigma Canada, Inc., a subsidiary of AI Financial. The decision comes just one week after the company announced on July 7 that it had signed a non-binding term sheet to explore the potential purchase.

“Perpetuals has decided not to further pursue the acquisition... and the earlier letter of intent has been terminated,” the company said in its statement. According to the source report, representatives for AI Financial, which was formerly known as ALT5 Sigma, did not immediately provide a comment.

Context of the Trump-Linked Firm

AI Financial gained notoriety through a deal in August 2025 involving World Liberty Financial, a crypto venture backed by the Trump family. At the time, the Nasdaq-listed company, then called ALT5 Sigma, raised $750 million through a share sale and used $717 million of the proceeds to purchase World Liberty tokens.

According to a Reuters report, that transaction resulted in a payment of more than $500 million to the Trump family based on their arrangement with World Liberty Financial.

Market Impact

The financial performance of AI Financial's stock has been dire for investors. Since the deal with World Liberty Financial on August 11, 2025, the company's share price has collapsed, falling from over $9 to approximately 53 cents as of Tuesday.

This dramatic decline represents a significant loss for shareholders who invested in the company following the high-profile transaction.
