Penske Automotive Stock Surges on $3.8 Billion Take-Private Proposal

Penske Automotive Group (NYSE: PAG) shares surged more than 10% in morning trading after the company received a non-binding proposal to be taken private by Penske Corporation and Mitsui. The offer of $210 per share prompted the stock to hit a new 52-week high of $219.09, according to a report from Investing.com.
The Buyout Proposal
The take-private offer from Penske Corporation and Mitsui values the automotive retailer's free-float buyout at approximately $3.8 billion. The proposed price of $210 per share represents a 7.6% premium over the stock's closing price on the previous trading day.
It is important for investors to note that the proposal is currently non-binding, meaning there is no certainty that a definitive agreement will be reached or that a transaction will be completed. The stock's move to trade above the offer price suggests some market participants may anticipate a higher bid or other favorable developments.
AdAnalyst Upgrades and Earnings Anticipation
Coinciding with the buyout news, analysts have reportedly raised their average price target on Penske shares to $231.73 from a previous $206.00. The revision was attributed to updated assumptions regarding the company's fair value, revenue growth, and profit margins.
The rally is also amplified by investor positioning ahead of the company's upcoming earnings report. Penske is scheduled to release its second-quarter financial results on July 29, 2026. Optimism is partly fueled by a strong first-quarter performance, where earnings per share of $3.56 significantly beat analyst expectations.
