Oma Saastopankki Shares Soar 44% on S-Bank's €571 Million Takeover Bid

Shares of Oma Saastopankki Plc (OMASP) surged nearly 44% on Tuesday after S-Bank Plc announced a voluntary recommended public cash tender offer to acquire all of the company's outstanding shares. The stock climbed to €16.84 on the Helsinki exchange, trading near the offer price and hitting a new 52-week high of €17.00 during the session.
Offer Details
S-Bank is offering €17.20 per share in cash, a proposal that values Oma Savings Bank at approximately €571.4 million. According to the announcement, the offer represents a substantial premium for shareholders:
- A premium of approximately 47.0% compared to the closing price on July 8, 2026.
- A premium of approximately 52.5% over the volume-weighted average trading price for the prior twelve months.
The Board of Directors of Oma Savings Bank has unanimously recommended that its shareholders accept the tender offer.
Strong Shareholder Backing
AdThe market's strong positive reaction reflects the high probability of the deal's completion, which is underpinned by significant pre-existing support. Five major savings bank foundations, which collectively hold approximately 59.9% of the shares and votes in Oma Savings Bank, have irrevocably undertaken to accept the offer.
This commitment from a majority of shareholders all but ensures the transaction will proceed, prompting investors to quickly bid up the stock price to close the gap with the acquisition price.
Transaction Outlook
The two banks entered into a Combination Agreement on July 9, 2026. The offer period is expected to commence around July 17 and run through September 25, 2026, with the transaction anticipated to be completed during the fourth quarter of 2026.
Following the acquisition, Oma Savings Bank is expected to continue as a subsidiary of S-Bank Plc, with no immediate material changes to its operations or employees. S-Bank may eventually seek to delist Oma Savings Bank's shares from the Nasdaq Helsinki exchange.
