Nestlé to Raise €3 Billion in Water Business Spin-Off with Platinum Equity

Summary
Nestlé announced plans to spin off its water business into a 50-50 joint venture with U.S. investment firm Platinum Equity, a deal that values the new entity at €4.9 billion and is expected to generate approximately €3.0 billion in proceeds for the Swiss food giant.
Nestlé plans to raise approximately €3 billion ($3.43 billion) by spinning off its water business into a joint venture with U.S. investment firm Platinum Equity. The Swiss consumer goods company announced on Thursday that the deal establishes a new, equally-owned company named Peranel.
Transaction Details
The transaction assigns an enterprise value of €4.9 billion to the newly formed entity, Peranel. Nestlé stated it expects to receive cash proceeds of about €3.0 billion when the deal closes, which is anticipated in the first half of next year.
The joint venture will encompass a significant portion of Nestlé's water portfolio, including:
- Premium brands Source Perrier, S.Pellegrino, and Acqua Panna
- The Nestle Pure Life business
- Various local water businesses
AdStrategic Rationale
This move follows a period of strategic review for Nestlé's water division, which has faced regulatory challenges in France over unauthorized water treatment methods and growing environmental scrutiny regarding water use and sustainability.
The spin-off aligns with CEO Philipp Navratil's broader strategy to enhance growth and profitability by concentrating on Nestlé's core brands in areas like infant formula, coffee, and pet foods. "By partnering with Platinum Equity, Peranel will be better positioned to execute its strategy with enhanced agility," Navratil said in a statement.
