Under the terms announced after U.S. market hours on Thursday, Novo Nordisk gains an exclusive worldwide license to Nanexa’s PharmaShell platform for use in up to five development programs. These programs will target obesity, type 2 diabetes, and other cardiometabolic conditions.
The financial structure of the deal includes:
- Total potential payments of up to €1.165 billion.
- €615 million in upfront payments and payments tied to development and regulatory milestones.
- The remainder is linked to achieving specific sales milestones.
- Nanexa is also eligible for low-single-digit royalties on global net sales of any commercialized products.
Novo Nordisk will be responsible for the global development and commercialization of any therapies that result from the partnership, according to the announcement.
