Karman Space & Defense Shares Fall Despite Announcing $94 Million UK Acquisition

Summary
Shares of Karman Holdings Inc. declined on Monday even as the company announced a strategic $94 million acquisition of UK-based Walker Precision Engineering, a move designed to expand its presence in the European defense market.
Shares of Karman Holdings Inc. (NYSE:KRMN) fell 2.1% in Monday trading following the announcement that its Karman Space & Defense unit will acquire UK-based Walker Precision Engineering for approximately $94 million. The news, revealed at the Farnborough Airshow, signals a significant strategic expansion for the U.S. company into the European market.
The Acquisition
Karman's deal to purchase Walker Precision Engineering marks its first major operational move outside of the United States. Walker, headquartered in Glasgow, is a key supplier of complex components for the aerospace, defense, and space sectors, with established relationships with major European prime contractors.
The company specializes in parts for missile seekers, guidance systems, and control systems for over 25 European defense programs. According to the announcement, the transaction is expected to close during the third quarter of Karman’s fiscal year 2026, pending customary regulatory approvals.
Strategic Rationale
The acquisition is intended to broaden Karman's market reach and capabilities. Walker's vertically integrated operations—spanning engineering, precision machining, and electromechanical assemblies—and its facilities in Scotland, England, and Poland provide Karman with an immediate and established European footprint.
"We expect that Walker’s strong missile- and aviation-related capabilities and programmatic relationships with the largest European space and defense prime contractors will increase our addressable market and create new opportunities for development, cross-selling and export," said Jon Rambeau, Karman's chief executive officer.
AdMarket Reaction and Financial Outlook
Despite the strategic rationale, investors reacted cautiously, with Karman's stock price declining on the day of the announcement. This contrasts with the company's optimistic financial projections for the deal.
Karman stated that it expects the acquisition to be immediately accretive to several key financial metrics, including:
- Revenue
- Backlog
- Adjusted EBITDA
- Adjusted earnings per share
- Cash flow
Karman Space & Defense, based in Huntington Beach, California, currently supports over 130 space and defense programs primarily for the U.S. Department of Defense and its network of prime contractors.
