Italgas to Acquire 22.5% Stake in Portugal's Floene for €120 Million

Summary
Italian gas distributor Italgas has agreed to purchase an indirect 22.5% stake in Portuguese peer Floene for approximately €120 million, marking a significant expansion of its presence in the Portuguese gas market.
Italian gas distributor Italgas announced on Friday it has agreed to acquire an indirect 22.5% stake in Portuguese gas network operator Floene for approximately €120 million. The move significantly expands the Italian utility's footprint in Portugal's largest gas distribution network.
Deal Structure
According to the company's statement, Italgas will execute the transaction by purchasing 100% of Meet Europe Natural Gas from its current owners, Marubeni and Toho Gas. Meet Europe Natural Gas is the entity that holds the 22.5% interest in Floene.
The deal, valued at about €120 million, is contingent on customary closing conditions, including securing the necessary regulatory approvals. Upon completion, the acquisition will give Italgas joint control of Floene.
AdStrategic Rationale and Market Impact
This acquisition supports Italgas's stated strategy of expanding its European operations through targeted acquisitions. By taking a significant stake in Portugal's primary gas distributor, Italgas solidifies its position in the Iberian energy market and gains influence over a key infrastructure asset.
Floene is Portugal's largest gas distributor, with a substantial operational footprint. The company serves approximately 1.1 million residential and industrial customers through a distribution network that spans roughly 14,000 kilometers. It operates five key gas distribution concessions, including one for the Lisbon metropolitan area.
