Innoviz disclosed it had entered into a definitive agreement with institutional investors to sell 66,666,667 of its ordinary shares. According to the company's statement, the offering is expected to close on or about July 29, 2026, subject to customary closing conditions.
The offering is being conducted through a registration statement on Form F-3 that was declared effective by the U.S. Securities and Exchange Commission (SEC) on August 21, 2025. Titan Partners is serving as the sole placement agent for the offering, and WestPark Capital, Inc. is acting as a financial advisor.
AdMarket Reaction and Use of Proceeds
The sharp decline in the company's stock price is a typical market reaction to share dilution. By increasing the number of shares outstanding, such offerings reduce the ownership percentage and potentially the earnings per share for existing stockholders.
Innoviz stated that it will use the net proceeds for general business purposes. The company specifically highlighted plans to support the commercialization of Perciz, its dedicated brand for the security and defense markets.
