Background

Shares in Industrie De Nora (DNR.MI) plunged more than 11% on Tuesday after Italian energy infrastructure group Snam (SRG.MI) announced plans to sell a portion of its holding in the company.

Details of the Stake Sale

Snam, through its wholly owned subsidiary Asset Company 10, initiated the sale of approximately 10 million ordinary shares in Industrie De Nora. The offering represents about 5% of the electrochemical technology firm's share capital.

The transaction is being managed through an accelerated bookbuild process exclusively for institutional investors. Upon completion, Snam's stake in Industrie De Nora will be reduced to 16.6%. Snam noted that the multiple-voting shares being sold will convert into ordinary shares upon transfer to the new owners.

Strategic Rationale and Market Impact

The immediate market reaction saw De Nora's stock price fall significantly, reflecting the increased supply of shares coming to the market. A large stake sale can place downward pressure on a stock's price as the market absorbs the new liquidity.

Snam stated the divestment aligns with its strategic objectives. The company said the sale is "consistent with the asset rotation program outlined in Snam’s Business Plan, reallocating capital towards businesses that further strengthen Snam’s core gas infrastructure platform and support Snam’s integrated energy strategy." The final price and number of shares placed will be announced after the bookbuilding period concludes.
