HGP Intelligent Energy to Go Public in $1.2 Billion SPAC Deal, Bloomberg Reports

Summary
Nuclear services firm HGP Intelligent Energy reportedly plans to merge with blank-check company Meshflow Acquisition Corp. in a transaction valuing the combined entity at approximately $1.2 billion.
HGP Intelligent Energy, a nuclear services provider, plans to go public through a merger with special purpose acquisition company (SPAC) Meshflow Acquisition Corp., according to a Bloomberg report citing people familiar with the matter. The deal values the combined enterprise at approximately $1.2 billion.
Transaction Details
The merger will result in a publicly traded company named Leyte Parent Inc. An official announcement regarding the transaction could be made as soon as today, the sources told Bloomberg. Meshflow Acquisition Corp. is a blank-check vehicle, a shell company established to raise capital through an IPO for the purpose of acquiring an existing private company.
Proceeds from the deal are intended to help the Dallas-based company commercialize its technology. HGP Intelligent Energy specializes in software and coolant pumps designed to allow nuclear reactors to operate more flexibly.
AdPowering the AI Boom
The core of HGP's strategy is to enable nuclear power plants, which traditionally provide stable baseload power, to ramp their output up and down to match real-time fluctuations in electricity demand. This capability is aimed squarely at the rapidly growing power needs of artificial intelligence data centers and the broader local grid.
This technology addresses a significant pain point for data center operators. According to an HGP memo reviewed by Bloomberg, AI data centers can lose between $10,000 to more than $100,000 per megawatt-hour of interrupted electricity supply, or "load." The deal highlights a growing market theme where the energy-intensive demands of AI are creating new opportunities for both traditional and innovative power generation companies.
