He also highlighted significant synergies in the collectibles market. Cohen noted that collectibles currently account for approximately 42% of GameStop's revenue and proposed a plan to integrate the two companies' operations. Under his proposal, GameStop's 1,600 physical stores would serve as authentication centers for high-value trading cards, such as Pokemon and sports cards, creating a vast network of service hubs.
Board Rejection and Financing Hurdles
AdEarlier this year, eBay's board unanimously rejected Cohen's proposal, describing the bid as "neither credible nor attractive." The board cited significant concerns regarding financing uncertainty for the deal, potential operational risks, and issues with GameStop's own corporate governance.
Investors have also raised questions about the substantial debt GameStop would need to incur to acquire the much larger eBay. Despite receiving what was described as a highly confident letter from a bank, financing remains a key obstacle. Cohen addressed these concerns by stating he has received interest from numerous investors since the bid was announced in May, asserting, "The pro forma company is going to be investment grade."

While Cohen declined to specify whether he would increase his offer, stating, "I'm not going to negotiate against myself," he indicated that his next move would be to present his plan directly to eBay's shareholders. In a preparatory step, GameStop shareholders approved a large increase in the company's authorized share count earlier this month, a move intended to facilitate a potential acquisition.
