Evolution Shares Gain as Candle Lake's Stake Crosses Mandatory Takeover Bid Threshold

Summary
Shares of the Swedish gaming company surged after its largest shareholder, Candle Lake, increased its holding to over 30%, a level that requires it to launch a takeover offer or reduce its stake under Swedish law.
Shares of Swedish gaming company Evolution AB rose more than 4% on Monday after its top shareholder, Candle Lake, increased its stake to a level that triggers a mandatory takeover offer under Swedish regulations.
Ownership Threshold Crossed
Candle Lake purchased an additional 2.05 million shares of Evolution, elevating its total holding to 59.8 million shares, according to a regulatory disclosure. This transaction pushed the fund's ownership stake to 30.02% of the company's voting rights.
Under Swedish securities law, any shareholder that acquires 30% or more of a company's voting rights is obligated to make a public offer to acquire all remaining shares. Candle Lake now has four weeks to either launch a formal takeover bid for Evolution or sell down its position to fall back below the regulatory threshold.

The news spurred positive investor sentiment, building on the stock's recent performance. As of July 24, Evolution's shares had gained 4.5% for the month and were up 11.3% year-to-date.
Separately, Evolution has been actively repurchasing its own stock. In a company filing, Evolution reported it had bought back 1,023,577 of its own shares between July 20 and July 24. These purchases, executed by Citibank on the Nasdaq Stockholm exchange, increased the company's holding of treasury stock to 8,760,702 shares.
