Enersys Shares Rise on $320 Million Deal to Acquire Ultralife

Shares of Enersys (NYSE: ENS) climbed in pre-market trading after the company announced late Tuesday it will acquire Ultralife Corporation for $16.00 per share in cash. The deal represents an enterprise value of approximately $320 million and is intended to accelerate Enersys's expansion into mission-critical defense markets.
Deal Details
The acquisition price reflects a 166% premium to Ultralife’s unaffected closing price on October 26, 2026, according to the announcement. Enersys plans to fund the all-cash transaction entirely from its existing cash reserves, noting that the deal has no financing contingency, which signals a strong liquidity position.
Enersys management anticipates achieving annual run-rate cost synergies of $15 million to $20 million within the first 18 months after the transaction closes. Investors reacted positively to the news, with Enersys stock rising 2.3% in pre-open trading.
AdStrategic Rationale
The acquisition is a strategic effort by Enersys to bolster its defense technology portfolio, particularly in the growing market for drone and counter-drone systems. The deal also broadens the company's offering of advanced battery technologies and adds U.S.-based manufacturing capabilities.
"This acquisition is a compelling strategic fit for EnerSys and directly advances our strategy to build a broader, more differentiated defense power platform," said Enersys President and CEO Shawn O’Connell in a statement. The move comes at a time of rising global defense spending, positioning the company to capture new opportunities in the sector.
