Background

A special purpose acquisition company (SPAC) backed by Cantor Fitzgerald and Bitcoin pioneer Adam Back’s investment firm have terminated their planned merger agreement, the companies announced Wednesday. The two parties will now attempt to negotiate a revised deal with terms better suited to the current financial landscape.

Deal Restructuring

The blank-check company, Cantor Equity Partners I Inc., and the Bitcoin-focused firm, BSTR Holdings, stated they will not proceed under the merger agreement signed last year. Instead, they will pursue a new transaction with amended terms.

The companies did not disclose the potential financial details of a revised deal or provide a timeline for when a new agreement might be reached. Any new transaction would be outlined in future regulatory filings if an agreement is finalized, according to the announcement.

Immediate Consequences

As a result of the termination, the private financing associated with the original merger has been canceled. A shareholder meeting that had been scheduled for July 10 to vote on the transaction has been postponed indefinitely.

Furthermore, the companies have canceled all pending redemption requests from SPAC investors. This action returns the shares to those shareholders, who had previously sought to cash out their investment rather than participate in the merged entity.

Context and Background

The proposed merger was designed to take BSTR Holdings public. The firm, led by Blockstream CEO Adam Back, intended to use the capital raised from the public listing to purchase and hold Bitcoin.

According to an earlier report from Bloomberg News, the transaction had encountered difficulties securing sufficient funding. The report noted that Cantor had allowed some investors in the deal's private financing to scale back their commitments ahead of the planned shareholder vote, signaling challenges in closing the deal under its original structure.
