Cantor Fitzgerald SPAC and Adam Back’s BSTR Holdings Terminate Merger Agreement

A special purpose acquisition company (SPAC) backed by Cantor Fitzgerald and a Bitcoin investment firm founded by developer Adam Back have mutually terminated their merger agreement, the companies announced Wednesday. The parties will attempt to negotiate a new deal with terms that better reflect current market conditions.
Original Deal Scrapped
Cantor Equity Partners I Inc. and BSTR Holdings said they will not proceed under the merger agreement signed last year. As a result of the termination, several related actions have been taken:
- The private financing associated with the original merger has been canceled.
- A shareholder meeting scheduled for July 10 to vote on the deal has been postponed indefinitely.
- Pending redemption requests from SPAC investors have been canceled, and their shares have been returned.
The companies did not disclose potential financial terms for a revised transaction or provide a timeline for when a new agreement might be reached. Any future deal would be outlined in subsequent regulatory filings, they said.
AdContext and Market Headwinds
The planned merger was intended to take BSTR Holdings public, allowing the company to raise capital. BSTR, led by Blockstream CEO and early Bitcoin contributor Adam Back, planned to use the proceeds to acquire and hold Bitcoin.
The decision to restructure the deal follows reports of financing difficulties. According to Bloomberg News, Cantor had previously allowed some investors in the deal's private financing round to scale back their commitments after the transaction struggled to secure sufficient funding. This termination highlights the challenging environment for SPAC mergers, particularly for companies in the volatile cryptocurrency sector.
