Cantor Fitzgerald SPAC, Adam Back's BSTR Terminate Merger Agreement

A special purpose acquisition company (SPAC) backed by Cantor Fitzgerald and Bitcoin investment firm BSTR Holdings have mutually terminated their existing merger agreement, the companies announced Wednesday. They now intend to negotiate a revised deal with terms that better reflect the current market environment.
Original Deal Scrapped
Cantor Equity Partners I Inc. and BSTR Holdings will not proceed with the merger agreement signed last year. As a result of the termination, the companies have also scrapped the associated private financing and indefinitely postponed a shareholder meeting that was scheduled for July 10.
Additionally, pending redemption requests from SPAC investors have been canceled, with those shares being returned to their holders. The companies stated that any revised transaction would be detailed in future regulatory filings if a new agreement is reached.
Market Headwinds and Future Negotiations
The decision to restructure the deal comes amid a challenging market for capital raising. The companies did not disclose the potential financial terms of a revised transaction or provide a timeline for when a new agreement might be finalized.
AdAccording to an earlier report from Bloomberg News, the transaction had struggled to secure adequate funding. The report noted that Cantor had allowed some investors in the deal's private financing to reduce their commitments ahead of the planned shareholder vote.
Context of the Transaction
The proposed merger was designed to take BSTR Holdings public. The firm is led by Adam Back, a prominent cryptographer and CEO of Blockstream who is considered one of Bitcoin's earliest developers.
BSTR was established with the goal of raising capital to purchase and hold Bitcoin on its balance sheet. The termination of the current deal marks a significant setback in its plan to access the public markets through the Cantor-backed SPAC.
