Cantor Fitzgerald SPAC, Adam Back's BSTR Holdings Terminate Merger Deal

A Cantor Fitzgerald-backed special purpose acquisition company (SPAC) and Adam Back’s Bitcoin investment firm, BSTR Holdings, have terminated their initial merger agreement. The two parties announced Wednesday they will attempt to negotiate a revised deal with terms better suited to current market conditions.
Original Agreement Scrapped
Cantor Equity Partners I Inc. and BSTR Holdings confirmed they will not proceed with the merger agreement signed last year. The original deal was designed to take BSTR public, allowing the firm to raise capital to purchase and hold Bitcoin.
As a result of the termination, the companies have also taken the following actions:
- Canceled the private financing that was tied to the original transaction.
- Indefinitely postponed a shareholder meeting that had been scheduled for July 10.
- Voided pending redemption requests from SPAC investors, returning those shares to their holders.
Market Conditions Prompt Renegotiation
AdThe companies stated the decision was made to pursue amended terms that "better reflect current market conditions." No details on the financial terms of a potential revised transaction or a timeline for a new agreement were disclosed.
The termination follows a previous report from Bloomberg News indicating the transaction had struggled to secure sufficient funding. According to the report, Cantor had allowed some investors in the deal's private financing to reduce their commitments ahead of the planned shareholder vote.
Path Forward Unclear
For investors, the future of the deal remains uncertain. The companies said that if a revised transaction is agreed upon, its details would be outlined in future regulatory filings. This development sends the SPAC back to the negotiating table, highlighting the challenging environment for capital-raising, particularly for cryptocurrency-focused ventures attempting to go public.
