Plan to Erase Disputed Debt

Beneficient, an alternative assets platform, stated its intention to eliminate what it described as fraudulent indebtedness asserted by HCLP Nominees, L.L.C., an entity affiliated with Heppner. The company is also moving to terminate all equity interests held by Heppner and his affiliates.

The company's strategy is bolstered by the former CEO's conviction on May 7, 2026, for securities fraud, wire fraud, and related charges. Beneficient said the conviction supports its position that the purported HCLP debt is invalid and unenforceable.

Proposed Resolution Terms

The company is seeking a consensual resolution with Heppner before his sentencing, which is scheduled for October 21, 2026. According to the announcement, the proposed deal would significantly restructure the company's balance sheet and governance.

"Our objective is a complete separation through the elimination of the purported HCLP debt and all of Mr. Heppner’s remaining equity, contractual and governance interests in the Company," said CEO James G. Silk in a statement. Beneficient has not yet entered into a definitive agreement and noted that if a consensual resolution cannot be reached, it is prepared to pursue all available legal claims against Heppner and his entities.
