Bending Spoons to Acquire Miro for $1.4 Billion in Continued Software Push

Bending Spoons S.p.A. announced a definitive agreement to acquire the digital whiteboard platform Miro, continuing an aggressive expansion into the software-as-a-service market. The all-cash transaction is based on an enterprise value of $1.355 billion, according to a company announcement on Thursday.
Deal Structure and Valuation
The deal values Miro's equity at approximately $1.79 billion when including the company's net cash. As part of the transaction, certain Miro shareholders have agreed to reinvest $295 million of their proceeds into newly issued Bending Spoons equity, signaling confidence in the combined entity's future.
The boards of directors for both companies have unanimously approved the agreement. The acquisition is expected to close in the fourth quarter of 2026, pending customary closing conditions and regulatory approvals.
Strategic Rationale
Miro has demonstrated significant growth, reaching approximately $600 million in annual recurring revenue (ARR). The platform serves nearly 4 million paying users across more than 250,000 organizations, with business and enterprise customers accounting for nearly 90% of its revenue.
AdBending Spoons CEO and co-founder Luca Ferrari stated that the company plans to "invest substantially in performance, reliability, and functionality" for the Miro platform post-acquisition. Miro, founded fifteen years ago by CEO Andrey Khusid, is described as an AI-first workspace used by over 750 customers with more than $100,000 in ARR.
Context and Market Impact
This acquisition marks Bending Spoons' second billion-dollar deal in a short period, following its $1.285 billion purchase of the work management platform Airtable just last week. This rapid succession of major acquisitions highlights the company's strategy to consolidate key players in the enterprise software space.
Bending Spoons completed its Nasdaq IPO on July 1, 2026, raising $1.68 billion at $29 per share. The company's stock has risen approximately 30% since its public offering and was trading up 0.7% in pre-market hours on Thursday following the announcement.
