The higher bid came after Beazer's board rejected a previous offer of $29.25 per share on June 29, stating that it significantly undervalued the company. Beazer had informed Dream Finders it would enter discussions if the proposal was improved, an exclusivity requirement was dropped, and a customary confidentiality and standstill agreement was signed.
On June 30, Dream Finders raised its offer and relinquished the exclusivity demand. However, the company declined to sign the confidentiality and standstill agreement that Beazer has in place with other interested parties. Beazer's board stated its belief that Dream Finders' decision to publicize the proposal was an attempt to pressure the board into engaging on terms not considered to be in shareholders' best interests.
AdBeazer disclosed that since Dream Finders’ initial public proposal of $25.75 per share on May 11, it has received interest from additional parties regarding potential transactions. The company's board is currently evaluating all opportunities to maximize shareholder value, assisted by financial advisors J.P. Morgan Securities and Moelis & Company, and legal advisor King & Spalding. Beazer cautioned that there is no assurance any transaction will result from the interest it has received.
