Details of the Transaction
AIC Mines will acquire 100% of Materra Metals, the owner of the Mt Cuthbert project located in northwest Queensland, Australia. The transaction comprises $100 million in AIC Mines stock and $20 million in cash, according to the company's September 23 announcement.
Funding for the deal is supported by a $70 million placement to Hawke’s Point Resource Finance at a price of $0.795 per share. Calling it "by far the best opportunity we have seen," Managing Director Aaron Colleran confirmed the deal is subject to shareholder approval and is expected to be completed in early November.
Impact on Copper Resources
The acquisition substantially increases AIC's mineral assets. The Mt Cuthbert project adds:
Ad- A mineral resource of 18.7 million tonnes grading 1.3% copper, for an estimated 246,000 tonnes of contained copper.
- An existing 8,000-tonne-per-annum solvent extraction and electrowinning (SX-EW) processing plant.
- An extensive 2,400 square kilometers of prospective exploration ground.
This transaction will increase AIC's total copper resources by 39% to 878,000 tonnes. On a per-share basis, the resource increase is 17%, representing a significant value addition for existing shareholders.

Investors reacted positively ahead of the formal announcement. In the September 22 session, shares of AIC Mines jumped 14.5% from $0.795 to $0.91 before the Australian Securities Exchange (ASX) halted trading. This strong market performance highlights investor appetite for copper assets, which are considered critical for the global energy transition, including electric vehicles and renewable power infrastructure.
