Aethlon Medical Shares Skyrocket Over 400% on North Immunology Merger, $180M Financing

Summary
Aethlon Medical will merge with the privately held North Immunology in an all-stock deal, creating a new Nasdaq-listed entity focused on immune diseases. The transaction is supported by a concurrent $180 million private placement from institutional investors.
Aethlon Medical (NASDAQ:AEMD) shares skyrocketed more than 400% in Thursday premarket trading following the announcement of a definitive merger agreement with North Immunology. The all-stock deal with the privately held biotechnology company includes a concurrent private placement expected to provide approximately $180 million in gross proceeds.
The Merger Agreement
Under the terms of the transaction, Aethlon will merge with North Immunology through wholly owned subsidiaries. The combined entity will operate under the name North Immunology, Inc., and is expected to trade on the Nasdaq Capital Market under the new ticker symbol NRTX.
This type of transaction, often called a reverse merger, allows a private company like North Immunology to gain a public listing by merging with an existing publicly traded company. The deal effectively pivots Aethlon's corporate structure and market focus to that of North Immunology's pipeline.
Financing and Market Impact
The merger is supported by a significant financing round from a syndicate of healthcare-focused institutional investors. The private placement is expected to provide gross proceeds of approximately $180 million before expenses. This amount includes the conversion of about $34 million of North Immunology’s outstanding convertible promissory notes.
Key investors participating in the financing include:
Ad- Bain Capital Life Sciences
- Janus Henderson Investors
- Deep Track Capital
- Longitude Capital
- Soleus Capital
- Invus
- Farallon Capital Management
- Adage Capital Partners LP
- TCGX
Company officials stated the proceeds are expected to fund the combined company's operations into the second half of 2028, providing a substantial cash runway for its clinical development plans.
Advancing the Clinical Pipeline
North Immunology develops bispecific antibodies designed to target orthogonal inflammatory pathways for treating immune and inflammatory diseases. The new capital is intended to advance the development of its lead candidate, NOR-101, a half-life extended IL-13 x IL-18 bispecific antibody for atopic dermatitis and other immune-mediated conditions.
The company outlined an ambitious clinical timeline for NOR-101:
- Q1 2027: Expected initiation of a Phase 1a study.
- Mid-2027: Anticipated interim pharmacokinetic and safety data.
- 2027: Planned initiation of Phase 1b and Phase 2b studies in atopic dermatitis.
- 2028: Expected topline data from both the Phase 1b and 2b studies.
