Details of the Violations

SEBI's investigation highlighted specific compliance failures at several Adani-controlled entities. The regulator's order stated that the flagship firm, Adani Enterprises Ltd., failed to properly disclose a related-party transaction in its annual report for the fiscal year that ended in March 2013.

Additionally, other group companies, including AWL Agri Business Ltd. (formerly known as Adani Wilmar Ltd.), were found to have filed audit or review reports that were signed by firms lacking a valid peer review certificate at the time of signing.

Context of the Regulatory Probe

These settlements are part of a broader regulatory examination of the Gautam Adani-led conglomerate. SEBI initiated 24 separate investigations into the group's affairs following a January 2023 report from U.S.-based short-seller Hindenburg Research.

The Hindenburg report accused the Adani Group of widespread stock price manipulation and the improper use of offshore tax havens, allegations the group has denied. The subsequent regulatory scrutiny has placed the conglomerate's corporate governance and disclosure practices under a microscope.
