ACV Auctions Stock Soars Over 43% on $1.9 Billion Buyout by Copart

Shares of ACV Auctions (NASDAQ: ACVA) surged more than 43% in pre-market trading after Copart Inc. (NASDAQ: CPRT) announced it will acquire the company in an all-cash deal valued at approximately $1.9 billion.
Transaction Details
Under the terms of the definitive agreement, Copart will commence a tender offer to acquire all outstanding shares of ACV Auctions common stock for $10.50 per share in cash. Copart stated it intends to fund the transaction entirely with cash on hand.
The acquisition price represents a significant premium for ACV shareholders:
- A premium of approximately 45% to ACV’s closing price on August 10, 2026, the last trading day before media reports of a potential deal emerged.
- A premium of roughly 41% to the stock's 30-day volume-weighted average price through September 9, 2026.
Copart expects the transaction to be neutral to its earnings per share in the first full year following the close and accretive thereafter.
Strategic Rationale
AdThe acquisition combines Copart, a global leader in online auctions for salvage vehicles, with ACV's digital platform for dealer-to-dealer wholesale transactions. According to the announcement, the goal is to create an "end-to-end vehicle remarketing ecosystem."
Copart highlighted ACV's AI-powered vehicle inspection tool, known as VIPER, and its extensive vehicle condition data as key assets. These capabilities are expected to complement Copart's existing infrastructure and expand its market reach.
Market Reaction and Next Steps
The market responded swiftly to the news, with ACV's stock price climbing to trade in tight proximity to the $10.50 offer price. The deal has been unanimously approved by the boards of directors of both companies.
The transaction is expected to close by the end of the 2026 calendar year. It is subject to customary closing conditions, including antitrust clearance under the Hart-Scott-Rodino Act and the successful tender of a majority of outstanding ACV shares.
