The Acquisition Details
The acquisition will be conducted through a court-supervised sale process under Section 363 of the United States Bankruptcy Code, allowing 5E to acquire the assets free of certain legacy liabilities. The company will, however, assume specific liabilities related to ongoing environmental compliance.
The $9.6 million consideration is structured as a mix of cash, stock, and debt:
- Approximately $3.4 million in cash.
- 8.3 million shares of 5E common stock.
- A $6.2 million senior unsecured promissory note issued by a company subsidiary.

According to the announcement, the principal owner of Searles Valley has committed to providing this financing. The closing is anticipated in early October 2026.
Strategic Rationale
This acquisition includes one of only two operational borate production complexes in the United States, located at Searles Lake, California. The assets comprise over 9,000 acres with an estimated resource life of 200 years at current extraction rates, producing refined borates, boric acid, and other minerals.
Upon closing, 5E Advanced Materials would become the only American-owned producer of borates in the country. This is particularly significant as boron was added to the U.S. Department of the Interior’s Critical Minerals List in 2025. The company stated it plans to maintain operations in Trona, California, and retain a significant portion of Searles Valley's operating employees.
